SECFacts (the “Service”) is operated by Big Vision Systems LLC (“Big Vision Systems”, “we”, “us”). You can reach us through bigvisionsystems.com. By using the Service you agree to these Terms; if you do not agree, do not use the Service.
SECFacts is an independent product. It is not affiliated with, endorsed by, sponsored by, or approved by the U.S. Securities and Exchange Commission or any government agency. “SEC” and “EDGAR” are used solely to describe the public government data the Service reads. Filing data is retrieved from the SEC’s public EDGAR system, which is a work of the U.S. government.
The Service answers questions about U.S. SEC filings using automated retrieval from EDGAR and AI-generated analysis. Answers restate and compute over public filings. AI-generated content can contain errors, omissions, or misinterpretations, and filings themselves can be amended or restated. You are responsible for verifying any figure against the cited source documents before relying on it. The Service is provided for informational and research purposes only.
Nothing produced by the Service is investment, financial, legal, accounting, or tax advice, nor an offer, solicitation, or recommendation to buy, sell, or hold any security or pursue any strategy. Big Vision Systems is not a broker-dealer, investment adviser, or fiduciary, and no advisory, fiduciary, or professional-client relationship is created by your use of the Service. Consult a qualified professional before making financial decisions.
You must be at least 18 years old. Paid plans require signing in with a supported identity provider (currently Google); you are responsible for activity under your account and for keeping access to it secure. We may suspend or terminate accounts that violate these Terms.
Paid subscriptions bill through Stripe, monthly or annually, and renew automatically until cancelled. Cancel any time via the billing portal; cancellation takes effect at the end of the current billing period, and periods already billed are non-refundable except where required by law. Question and deliverable quotas reset monthly and unused quota does not roll over; one-time credit packs do not expire. We may change prices with notice — changes apply from your next renewal, never retroactively. You are responsible for any applicable taxes.
You agree not to: scrape, crawl, or bulk-query the Service or circumvent quotas or rate limits; resell, redistribute, or white-label raw output as a data feed without our written agreement; probe, disrupt, or overload the Service; use the Service for unlawful purposes, including market manipulation; or misrepresent Service output as an official SEC publication. SEC data itself is public — what you pay for is the analysis layer, and fair-use limits protect it for everyone.
We and our licensors own the Service, including its software, design, and branding. Underlying SEC filing data is public. Subject to these Terms, you may use the answers, charts, and report files generated for you for your own business and research purposes, including sharing them within your organization with attribution intact.
THE SERVICE AND ALL OUTPUT ARE PROVIDED “AS IS” AND “AS AVAILABLE”, WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, COMPLETENESS, TIMELINESS, NON-INFRINGEMENT, AND UNINTERRUPTED OR ERROR-FREE OPERATION.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, BIG VISION SYSTEMS AND ITS MEMBERS, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITY — INCLUDING ANY LOSS ARISING FROM TRADING OR INVESTMENT DECISIONS MADE IN RELIANCE ON SERVICE OUTPUT — EVEN IF ADVISED OF THE POSSIBILITY. OUR AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE IS LIMITED TO THE GREATER OF (A) THE FEES YOU PAID US IN THE TWELVE MONTHS BEFORE THE CLAIM AROSE AND (B) US $50. Some jurisdictions do not allow certain exclusions, so parts of this section may not apply to you.
You will indemnify and hold Big Vision Systems harmless from claims, damages, and expenses (including reasonable attorneys’ fees) arising from your misuse of the Service, your violation of these Terms, or your violation of any law or third-party right.
These Terms are governed by the laws of the state in which Big Vision Systems LLC is organized, without regard to conflict-of-law rules, and disputes will be brought in the courts of that state. We may update these Terms; material changes will be reflected by the date above, and continued use after changes means acceptance. If any provision is unenforceable, the remainder stays in effect. These Terms, together with the Privacy Policy, are the entire agreement between you and us regarding the Service.
